Terms of Sale & Licence Agreement
These terms govern your purchase and use of Reel Lab, a desktop application published by VONAS, OPC. They are written to be read. Where a clause limits what you can expect from us, it says so in the same plain language as the rest.
Last updated 26 August 2026
1. Who you are contracting with
Reel Lab is published by VONAS, OPC, a One Person Corporation registered
under the laws of the Republic of the Philippines, SEC Company Registration No.
OPC20190000324, with its registered office at Golden Orion Bldg. No. 2,
Orion cor. Mercedes St., Bel-Air, Makati City 1227, Metro Manila, Philippines.
In these terms, “we”, “us” and “Reel Lab” mean VONAS, OPC. “You” means the person or organisation buying the licence. By purchasing, installing or using Reel Lab you agree to these terms.
2. What you are buying
Reel Lab is software you download and run on your own computer. It is not a hosted service, and it is not a subscription. You pay once.
- Reel Lab — $49. A perpetual licence to the application, including one year of version updates from the date of purchase.
- Reel Lab — Lifetime — $99. The same perpetual licence, with version updates for as long as the product exists.
After the first year, continued updates on the $49 licence are optional and separately priced. Declining them changes nothing about the copy you already have: it keeps working, keeps opening your projects, and keeps producing files. We do not disable software you have paid for.
3. Your licence
On payment we grant you a non-exclusive, non-transferable, perpetual licence to install and use Reel Lab for your own work, whether personal or commercial. Commercial use is included. There is no separate business tier and no per-project fee.
A licence key covers up to three machines belonging to you or your organisation. You can release a machine yourself from within the app if you replace or reinstall a computer. If you run out of seats and cannot resolve it, write to us and we will sort it out.
4. What the licence does not allow
You may not:
- resell, sublicense, rent or redistribute Reel Lab, or share your licence key outside your own organisation;
- remove, disable or circumvent the licence check, or distribute tools or instructions for doing so;
- represent Reel Lab as your own product, or use our name or branding in a way that suggests we endorse or supply your work;
- use Reel Lab to produce material that is unlawful where you are, or that infringes someone else's rights;
- create deepfakes, face-swaps or any other content that impersonates a real person, or that uses a real person's face, voice or likeness without their explicit consent;
- create sexual or pornographic content, content that sexualises minors in any way, or content intended to harass, defame, deceive or incite violence;
- present generated material as authentic footage of real events or real people in order to mislead.
Reel Lab has no face-swap feature and does not generate images or video itself — see section 6. The AI providers you connect apply their own content moderation on top of these rules. We may terminate the licence of anyone who uses Reel Lab in breach of this section.
Reverse engineering for interoperability, security research, or any other purpose that applicable law permits regardless of contract, is not restricted by this clause.
5. Your projects and your output
Everything you make with Reel Lab is yours. We claim no ownership, no licence, and no rights of any kind over your prompts, your scripts, your reference images, your projects, or the images and video you generate. We do not use them for anything, because we never receive them — see the Privacy Policy, which describes exactly what leaves your machine and what does not.
Your work is written as ordinary files and folders on a disk you chose. If you stop paying us, stop updating, or delete the application entirely, those files remain exactly where they are and remain readable without Reel Lab.
Whether AI-generated output can be copyrighted, and by whom, differs between countries and is unsettled in several of them. We make no representation about the legal status of what you generate. If that matters for your use, take advice on it.
6. Third-party AI providers
This is the most important clause in this document, so it is the longest.
Reel Lab does not generate images or video. It composes prompts and sends them to AI providers that you choose and that you have your own account with — fal, Kie, Groq, Higgsfield, Arcads, and others as we add support for them. You enter your own API key. The request goes from your computer to that provider directly. We are not in the middle of it, we do not proxy it, we do not hold your key, and we take no commission.
That arrangement has a consequence you should understand before you buy:
- Their terms govern their service. Each provider has its own terms of service, acceptable-use policy, content policy and privacy policy. Those are agreements between you and them. We are not a party to them and cannot vary them.
- They decide what happens to what you send. What a provider does with your prompts, your reference images and your generated output — whether it is retained, logged, reviewed by humans, or used to train their models — is determined by that provider's policy and by the plan you are on with them. Read them. Some providers offer settings or tiers that change this; some do not.
- They decide what they will and will not produce. Refusals, content filters, watermarking, safety systems and account enforcement are theirs. If a provider declines your prompt or suspends your account, that is between you and them.
- They set their own prices and bill you directly. Reel Lab estimates cost before you press the button and can stop a batch at a ceiling you set, but the authoritative number is the one your provider charges. We never see your invoice and never take a share of it.
- Their availability is not ours. Providers change models, deprecate endpoints, alter pricing, throttle, and go down. We update Reel Lab to track those changes when we can, but we do not control them and do not guarantee that any particular model, provider or feature will remain available.
We are not responsible for the acts or omissions of any AI provider, nor for the content they generate, nor for any claim arising from your use of what they generate — including claims of infringement, likeness, defamation or misuse. You are responsible for what you generate and what you do with it.
7. Generated output carries no warranty
Generative models are probabilistic. The same prompt can produce different results, results can be wrong, distorted, offensive, or resemble existing work, and no setting in Reel Lab changes that. We make no warranty that generated output will be accurate, original, suitable for any purpose, consistent between runs, or free of third-party rights.
Reel Lab itself is provided “as is”. To the extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Where the law of your country grants you consumer rights that cannot be waived by contract, this clause does not limit them.
8. Payment, tax and invoicing
Payments are processed by our payment partner, acting as merchant of record; the checkout page and your receipt name it. That means the merchant of record, not VONAS, OPC, is the legal seller for the transaction: they take the payment, they register, collect and remit any VAT, GST or sales tax your country requires, and they issue your invoice or receipt.
We never see or store your card details. Prices are shown in US dollars; tax is added at checkout where your jurisdiction requires it, and will be shown before you pay.
9. Refunds
Fourteen days, no argument. If Reel Lab is not what you expected, write to hey@reel-lab.com within 14 days of purchase with your order number and we will refund you in full. You do not have to justify it.
We will decline a refund where a licence key has been shared or published, or where the request is plainly an attempt to obtain the software without paying for it. Refunds are issued through the merchant of record and are returned to the original payment method.
Refunding a purchase ends the licence granted under these terms. Files you have already created are yours and are unaffected.
10. Updates and support
Updates are delivered through the application. Within your update window you receive new versions as they are released; we do not commit to a schedule, a feature, or a date, and nothing on this website is a promise that a particular capability will ship.
Support is by email at hey@reel-lab.com. We are a small company and answer in business hours, Philippine time. We do not offer a service level agreement.
11. Availability
Reel Lab runs locally, so it does not depend on us being online in order to work. Two things do touch our servers: licence activation, and the update feed. If either is unavailable, the application is designed to keep working rather than lock you out.
We do not guarantee that our website, licence service, update feed or roadmap board will be continuously available, and we may change or withdraw any of them.
12. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with these terms, Reel Lab, or your use of it, is limited to the amount you actually paid us for your licence.
We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of anticipated savings, or loss or corruption of data. We are specifically not liable for charges you incur with an AI provider, including charges resulting from a batch you did not intend to run.
Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
13. Termination
Your licence lasts until you end it or until you breach these terms in a way you do not fix after we have asked you to. If it ends, you must stop using Reel Lab and remove it from your machines. Sections 5, 6, 7, 12 and 14 survive termination.
14. Governing law
These terms are governed by the laws of the Republic of the Philippines. The courts of Makati City, Metro Manila have exclusive jurisdiction, except that if you are a consumer resident elsewhere, you keep the benefit of any mandatory protections and any right to sue in your local courts that the law of your country of residence gives you.
15. Changes to these terms
We may update these terms. The version in force for your purchase is the one published on the day you bought your licence, and a change will never retroactively reduce rights you already paid for. Material changes will be noted by the “last updated” date at the top of this page.
16. Contact
